Structure & Governance

The International Anti-Corruption Assembly (IACA) is governed on the principles of democracy, transparency, and accountability. All governing bodies are elected by members, operate collegially, and report to the General Meeting of Members — the supreme decision-making authority of the organization.

Governing Bodies

1. General Meeting of Members — Supreme Authority

The General Meeting is the highest governing body of IACA and has the authority to decide on any matter of the organization’s activity. It convenes once every three years (regular session) or on an extraordinary basis when required.

Key powers of the General Meeting:

• Defining the strategic directions of IACA’s activities
• Electing and recalling the Central Committee and its members
• Electing and recalling the Secretary General
• Amending the Statute (requires ¾ majority vote)
• Approving annual plans and activity reports
• Deciding on dissolution or reorganization of the organization

Decisions are adopted by a majority of votes of those present. Amendments to the Statute, dissolution, and asset disposal require a three-quarters (3/4) supermajority. Every member has one vote. Meetings may be held in person, by proxy, or via online conferencing platforms.

2. Central Committee — Executive and Administrative Body

The Central Committee is the organizational and executive body of IACA, operating between General Meetings. It is elected by the General Meeting for a term of five (5) years.

Key functions:

• Implementing decisions of the General Meeting
• Convening General Meetings and preparing their agenda
• Approving current activity plans and overseeing their execution
• Preparing annual activity reports for submission to the General Meeting
• Managing the organization’s property within the authority granted by the General Meeting
• Admitting new members based on written applications

The Central Committee meets at least once every three months. Meetings require a quorum (majority of members). Each member has one vote; in the event of a tie, the casting vote belongs to the Secretary General. All decisions are recorded in official minutes.

3. Secretary General — Head of the Organization

The Secretary General is the head of IACA, elected by the General Meeting for a term of five (5) years. The Secretary General acts on behalf of the organization without a power of attorney, chairs sessions of the Central Committee and General Meetings, represents the organization in all legal and public matters, and is accountable to the General Meeting.

The Secretary General may be recalled by a decision of the General Meeting upon the initiative of a majority of the Central Committee members.

4. Council of the Organization — Coordination Body

The Council consists of heads of officially registered regional subdivisions (representative offices) of IACA across different countries. The Council implements decisions of the General Meeting and the Central Committee at the regional level and is headed by the Head of the Council, elected at a Council members’ meeting.

5. Audit Commission — Supervisory Body

The Audit Commission is the independent supervisory body of IACA, accountable exclusively to the General Meeting. It is composed of a Chairperson and two members, elected by the General Meeting for a term of five (5) years. Members of the Audit Commission may not simultaneously serve in the Central Committee or any other structural subdivision.

The Audit Commission:

• Conducts audits of the organization’s financial and operational activities
• Prepares conclusions on financial statements, budgets, and balances
• Submits audit reports to the General Meeting for decision-making
• May initiate extraordinary General Meetings

 

Membership

Membership in IACA is voluntary and individual. Any citizen of Ukraine, citizen of another country, or stateless person who has reached the age of 18, recognizes the Statute, and supports the organization’s goals may become a member. Admission is based on a written application reviewed by the Central Committee within one month.

All members have equal rights: they may vote, be elected to governing bodies, attend all events, access information about the organization’s activities, and appeal decisions of governing bodies. Members are required to comply with the Statute, support the organization’s mission, and pay annual membership dues.

International Representative Offices

IACA maintains representative offices in six countries: Ukraine, Italy, Portugal, Czech Republic, Malta, and Bulgaria. Representative offices operate on the basis of the IACA Statute, are not separate legal entities, and are managed by heads appointed by the Central Committee for a term of three years.

•  All governing bodies are formed through democratic elections by members

•  Every member has one equal vote — regardless of role or seniority

•  All decisions are adopted collegially and recorded in official minutes

•  The organization is financially independent from governmental and commercial structures

•  Any member may appeal decisions of governing bodies, including to a court of law

•  Statute amendments require a three-quarters supermajority vote

•  Meetings may be held online to ensure inclusion of international members
